1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Mac Angelo Financial Services ("Company," "we," "us," or "our"), a financial services firm headquartered at 848 Brickell Ave, Penthouse 5 Miami, FL 33131.

By visiting our website, submitting an inquiry, scheduling a consultation, or executing a service agreement, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

These Terms apply to all visitors, prospects, and clients of Mac Angelo Financial Services. Individual service engagements are also governed by the specific engagement letter or service agreement executed between the parties, which supplements these Terms.

2. Services Offered

Mac Angelo Financial Services provides a range of financial, accounting, and advisory services, including but not limited to:

• Bookkeeping and accounting
• Tax preparation, planning, and strategy (individual and business)
• IRS representation and tax resolution
• Fractional CFO and financial advisory services
• Business formation (LLC, corporation, and related entity services)
• Business credit building and personal credit building
• Business funding and loan preparation
• Payroll processing
• Cash flow management and financial forecasting

The specific scope of services rendered to any Client is defined in a separate engagement letter or service agreement. These Terms govern your general use of our website and your relationship with the Company. Any conflict between these Terms and a signed engagement letter shall be resolved in favour of the engagement letter for that specific service.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding agreements (either personally or on behalf of a business entity)
• Provide accurate, complete, and up-to-date information when requested
• Not be prohibited from receiving our services under any applicable law

By engaging our services, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone for any lawful reason.

4. Client Responsibilities

Accuracy of Information

You are responsible for providing accurate, complete, and timely information necessary for us to perform our services. This includes financial records, tax documents, business information, and any other data we request. We are not liable for errors or delays resulting from incomplete or inaccurate information you provide.

Timely Response

Certain services have regulatory deadlines (e.g., tax filing dates). You agree to respond promptly to our requests for information and to provide required documents within the timeframes we specify. We are not responsible for missed deadlines caused by your failure to respond in time.

Account Security

If you create a client portal account, you are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorised access or security breach. We are not liable for any loss resulting from your failure to secure your credentials.

Compliance

You agree to use our services only for lawful purposes and in accordance with applicable laws and regulations. You must not use our services to facilitate fraud, tax evasion, money laundering, or any other illegal activity. We reserve the right to immediately terminate our engagement if we have reasonable grounds to believe you are engaging in unlawful activity.

5. Fees & Payment

Pricing

Our fees are set forth in your engagement letter or service agreement. We offer flat monthly retainer pricing for ongoing services and fixed project fees for one-time engagements such as business formation or financial modelling. Pricing shown on our website is indicative and subject to change without notice. The rates in your signed engagement letter are the governing rates for your engagement.

Billing Cycle

Ongoing services are billed monthly in advance on or around the first day of each billing period. One-time service fees are typically due prior to commencement of work unless otherwise agreed in writing.

Payment Methods

We accept payment by ACH bank transfer, major credit/debit cards, and other methods specified in your engagement letter. Payment processing may be handled by a third-party payment processor subject to their own terms of service.

Late Payments

Invoices are due upon receipt unless otherwise stated in your engagement letter. We reserve the right to suspend or terminate services for accounts that remain unpaid for more than 15 days past the due date, without affecting any accrued fees owed to us. A late payment fee of 1.5% per month (or the maximum allowed by applicable law, whichever is less) may be applied to past-due balances.

Taxes on Services

Our fees do not include applicable sales taxes, use taxes, or similar levies unless expressly stated. Any such taxes applicable to our services will be added to your invoice as required by law.

6. Cancellation & Termination

By You

You may terminate an ongoing service engagement by providing 30 days' written notice to us. You remain responsible for all fees accrued up to and including the termination date. Prepaid fees for services not yet rendered will be refunded on a pro-rata basis at our discretion.

By Us

We reserve the right to terminate or suspend your engagement immediately, without notice, if:

• You breach any provision of these Terms or your engagement letter
• We have reason to believe you are engaged in fraudulent, illegal, or unethical conduct
• Continuation of the engagement would create a conflict of interest or professional ethics issue
• You fail to provide necessary information or cooperation within a reasonable timeframe
• Payment obligations are not met within 15 days of the due date

Effect of Termination

Upon termination, we will provide you with a reasonable transition period and copies of your financial records as required by professional standards. We are not obligated to retain client records beyond the legally required retention period following termination.

7. Confidentiality

We understand that your financial and business information is sensitive. We treat all client information as strictly confidential and maintain it in accordance with applicable professional standards, including IRS Circular 230 requirements for tax practitioners.

We will not disclose your confidential information to third parties except:

• With your prior written consent
• As required by law, court order, or regulatory requirement
• To our service providers who are contractually bound to confidentiality (see our Privacy Policy)
• To defend ourselves against legal claims brought by you

This confidentiality obligation survives the termination of our engagement and continues indefinitely.

8. Intellectual Property

Our Content

All content on macangelo.io — including text, graphics, logos, icons, images, design elements, templates, tools, and software — is the property of Mac Angelo Financial Services or its content suppliers and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Your Content

You retain ownership of all financial records, documents, and data you provide to us. By providing this information, you grant us a limited, non-exclusive licence to use it solely to provide the services you have engaged us to perform.

Work Product

Tax returns, financial statements, reports, and other deliverables we prepare on your behalf are the property of the Client upon full payment of applicable fees. Templates, methodologies, and proprietary processes used to create those deliverables remain our property.

9. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee specific financial outcomes, tax savings, credit score improvements, or loan approvals as a result of our services. Past results for other clients do not guarantee similar results for you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAC ANGELO FINANCIAL SERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR WEBSITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability shall be limited to the greatest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mac Angelo Financial Services, its owners, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your breach of these Terms or any engagement letter
• Your violation of any applicable law or regulation
• Your provision of false, misleading, or incomplete information
• Any third-party claim arising from your use of our services

12. Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the venue in Miami-Dade County, Florida.

Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm. Any legal action not subject to arbitration shall be filed exclusively in the state or federal courts located in Miami-Dade County, Florida.

Class Action Waiver

You agree to resolve disputes on an individual basis only and waive any right to participate in class action lawsuits or class-wide arbitration against Mac Angelo Financial Services.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify active clients via email with at least 14 days' notice before the changes take effect
• Post a notice on our website

Your continued use of our website or services after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree with the updated Terms, you must stop using our website and services and notify us of your intent to terminate in accordance with Section 6.
